John Michael Harrington III

John Michael Harrington III, age 92 of Winchester, Massachusetts passed away on Thursday, November 8, 2015. He was born in East Boston and had lived with his family in West Roxbury for many years. A graduate of Roxbury Latin School, Harvard College and Harvard Law School, he was also the beloved husband to E. Patricia White Harrington; great-grandfather to Jack Harrington and 12 other grandchildren.

He was also a long-standing member of the Emma Forbes Carey Guild and Winton Club of Winchester. On Monday, March 19th at 11 a.m. in St. Paul’s Church in Cambridge, a Mass of Christian Burial will be celebrated to commemorate his life.

His obituary can be found in The Lives They Lived magazine (pages 17-19), where he is remembered for his numerous honors and contributions as a member of the Board of Directors for the National Society of High School Scholars.

The Society is a nonpartisan, nonprofit organization of high school students that provides leadership and an atmosphere of belonging. Established in the late 1800s, its mission is to educate and motivate young people to reach their full potentials.

John served the Society as Chair of its Scholarship Committee and Director of its Annual Fund. He was an enthusiastic supporter of higher education and students’ abilities to reach their full potentials.

He is a lawyer who represents clients in many commercial transactions, with an emphasis on securities and public company matters. His expertise includes IPOs, public filings, disclosure operations, rulemaking processes as well as complex securities structures like private equity offerings or joint ventures.

He has managed a wide variety of public and private offerings of common stock, preferred stock, convertible notes and other securities. Additionally, he has represented clients in private equity financings, leveraged buyouts, acquisitions, restructurings and other commercial deals.

His practice includes representing publicly traded companies in the retail and foodservice industries. He recently represented a Nasdaq-listed home furnishings retailer regarding their $168 million IPO. Furthermore, a major restaurant industry client completed both their $230 million Rule 144A convertible notes offering and $300 million senior notes issue.

Furthermore, he has represented clients in numerous mergers and acquisitions transactions with an aggregate value exceeding $1 billion. Furthermore, he provided legal counsel to numerous Nasdaq-listed companies during their initial public offerings, follow-on securities offerings, as well as other financings.

Before becoming a partner at Morrison Foerster, John was an associate in their New York office. There he represented numerous public and private companies across retail, foodservice and technology industries. Furthermore, John advised a large diversified holding company on its acquisition of several consumer goods companies.

He has been a practicing attorney for over four decades and possesses extensive knowledge in all aspects of civil litigation, such as personal injury, products liability and property damage claims. He has appeared in both state and federal court and handled thousands of jury trials. Furthermore, he is an author and frequent presenter at legal seminars; guest speaker at some of America’s top law schools; media contributor on corporate and public law topics.
